OFFICIAL RULES FOR ENTRANTS
TO ENTER: Select audio stems (“Audio Assets”) of the following sound recordings:

Which sound recordings are contained on the album, “Square Peg In A Round Hole Draft 1” (hereinafter the sound recordings are individually referred to as “Recording” and collectively referred to as “Recordings”) featuring the performance of the recording artist, “Apparatjik” which are available for entrants (“Entrant”) to download. The Audio Assets can be modified and/or mixed with original audio files that the Entrant creates for the purpose of creating new assets (the “Submission Materials”) using any platform the entrant chooses.

All Pre-mixes must have elements of the Audio Assets. A Premix shall be defined as any mix, remix, alteration, change and/or any new material added to or subtracted from, including vocals or music, the Audio Stems and/or Recording(s). Entrants must submit their final complete Submission Materials of the Recording(s) (“Pre-mix”) by uploading the Pre-mix to www.apparatjik.com between December 13, 2012 and February 7, 2012 (“Collaboration Period”). By participating in the “Everybody is one Bar” Music Collaboration Project you agree to comply with the Official Rules.

All rights in and to the Pre-mixes of any musical composition contained in the Recording(s) created by Entrant shall be owned by Apparatjik and/ or Apparatjik’s publishing designee and to the extent necessary the Entrant hereby assigns all rights in the Pre-Mixes of the songs to Apparatjik and/ or its publishing designee throughout the world for the life of copyright and any and all extensions and renewals thereof.

All rights in and to Pre-mixes of the original master recording of the Recording(s) created by Entrant shall be owned by Apparatjik or its designee and to the Extent necessary the Entrant hereby assigns all rights in the Pre-mixes to the Recording(s) to Apparatjik or its designee throughout the world for the full life of copyright and any and all extensions and renewals thereof.

Entrants agree and acknowledge that no compensation will be paid to them for any reason whatsoever including, but not limited to, entering the “Everybody is one Bar” Music Collaboration Project or creating a Pre-mix or Addition.

- All Pre-mixes and Audio assets must be submitted in the following file formats: 16 or 24 bit WAV files at 44.1 khz sample-rate. Pre-mixes may be submitted in any length or structure.

- Any Pre-mixes or Audio Assets meant by the entrant to be used together with one of the originally downloaded recordings must submitted in the following formats: 16 or 24 bit WAV files at 44.1 khz sample-rate with the same length and the same exact start point as the original downloaded file for that Recording(s). This is commonly referred to as b1b1 (bar one, beat one) files.

- Entrants may enter as many Pre-mixes as they want.

- Entrants shall not use the copyrighted Audio Assets or Pre-mixes in any manner or for any purpose other than for entering the “Everybody is one Bar” Music Collaboration project.

- Apparatjik may use Submission Materials/ Premixes to create new music or to include in any of the 10 drafts of the of the Recording(s) contained on ‘Square Peg In A Round Hole’ or in any other recording or for any other purpose whatsoever, including on the final release of the official Apparartjik album or in any audio/ visual device or any other usage.

- Apparatjik shall, in their sole discretion, choose which Submission Materials/ Premix, if any, to be included in the Recording(s).

- Apparatjik will endeavor that any Entrant that submitted Pre-mixes that are actually used for the digital version of “Everybody is one Bar” Music Collaboration project will receive a credit in the form of their first name and a capital A thereafter on the Apparatjik website. For example, “David A”. Any Pre-mixes used on any physical release of the final album will receive a printed credit where possible inn the form of their first name and a capital A. The size, style and prominence of any credit shall be in the soul discretion of Apparatjik. Any inadvertent failure to give credit to an Entrant of a Premix shall not be deemed a breach.

- The “Everybody is one Bar” Music Collaboration project begins at 11.59 on December 13, 2011 and ends at 11:59 pm on February 7, 2012. Entries received after 11.59 pm on February 7, 2012 will not be considered.

- Any fraudulent behavior will result in immediate disqualification from the “Everybody is one Bar” Music Collaboration project and voiding all eligibility of having materials released by Apparatjik.

- By submitting Pre-mixes in the “Everybody is one Bar” Music Collaboration project Entrant guarantee that such Pre-mixes do not incorporate any samples which are subject to third-party proprietary rights or otherwise infringe the rights of any 3rd party. Entrant also guarantee that the submitted Pre-mixes are not obscene, defamatory, libelous, threatening, harassing, racially or ethnically offensive, or encouraging of conduct that would be considered a criminal offense or violate any law.

- Apparatjik is not responsible for error, omission, deletion, defect, delay in operations transmission, theft of entry materials, or failure of Apparatjik to receive information on account of technical problems or traffic congestion on the Internet or any combination thereof.

Apparatjik values their fans and respects their privacy. We collect fan information in an effort to improve your experience and to communicate with you about our music, tour dates, contests and promotions. We do not sell, rent or share your personal information to third parties.

Other
By participating in the “Everybody is one Bar” Music Collaboration project Entrants assign away and transfer (as set forth below) any and all rights in the Premixes on a worldwide, perpetual, irrevocable and royalty-free basis, for any and all purposes including, but not limited to, display, public performance, posting for streaming and/or download, making of derivative works, reproduction, distribution, and all other means of exploitation of the of Premixes whether now known or hereinafter created. This Music Collaboration project is subject to all local, laws and is void where ever prohibited by law. By participating in the Music Collaboration project you agree that all disputes will be settled by arbitration in London, United Kingdom.
